2. Services Covered by This Agreement

This Agreement applies generally to all services, products, subscriptions, professional services, technology solutions, digital services, software-related services, support services, consulting services, and other offerings provided by WebGenius.

The specific services to be provided at any particular time will be identified through one or more applicable records, including:

• Invoice
• Proposal
• Order
• Subscription
• Checkout
• Service confirmation
• Written approval
• Other documented service record

The Client is not required to purchase or use every service offered by WebGenius.

The applicable scope, price, billing frequency, discounts, promotional offers, setup fees, subscription terms, service period, and other commercial terms will be identified in the applicable invoice or related service record.

3. Service Approval and Billing Process

Except for previously authorized recurring services, each new paid service follows the same process:

Service Discussion or Recommendation → Client Approval → Invoice → Payment → Service Execution

Before a new paid service is performed:

1. The service is discussed, recommended, or requested.
2. The applicable scope and price are communicated to the Client.
3. The Client approves the service.
4. The service and applicable charge are documented through an invoice or other written record.
5. Payment is completed according to the applicable billing terms.
6. WebGenius then schedules or performs the service.

By approving or paying an invoice, the Client confirms authorization for WebGenius to provide the services identified in that invoice.

Previously authorized recurring services may continue according to their existing subscription and billing terms until modified, canceled, suspended, or terminated.

4. No Hidden or Surprise Charges

Except for previously authorized recurring services, WebGenius will not intentionally add new paid services without Client approval.

Any new paid service will first be:

• Discussed with the Client
• Approved by the Client
• Documented in an invoice or other written record
• Paid according to the applicable billing terms
• Performed after payment

The Client should not receive an unexpected charge at the end of a billing period for a new service that was never disclosed or approved.

5. Recurring Payments and Subscription Setup

Where the Client approves a recurring service, the applicable subscription and payment arrangement may be established through one of the following methods:

• The Client may complete an applicable Pre-Authorized Debit (PAD) authorization form;
• The Client may independently create or activate the applicable subscription through a WebGenius online checkout, application, portal, or subscription system;
• The Client may authorize recurring payment through an approved payment processor such as Stripe or another payment platform used by WebGenius; or
• Another documented payment method may be agreed upon between WebGenius and the Client.

The applicable recurring amount, billing frequency, service period, and other commercial terms will be identified in the applicable invoice, subscription, checkout, PAD authorization, or other written service record.

When the Client completes a PAD authorization, activates a subscription, enters payment information through an approved checkout, or otherwise authorizes recurring payment, the Client authorizes the applicable recurring charges according to the approved service terms.

The Client is responsible for maintaining a valid payment method and accurate billing information.

By signing below and submitting this form, the Client confirms acceptance of the applicable WebGenius Terms and Policies and agrees that this electronic signature may be used as evidence of acceptance.
